These Terms of Service (“Terms”) govern your use of Testimonials Manager Pro and related services provided by Bizetools Software and Web Development (“Bizetools”, “we”, “us”, “our”).

By purchasing or using our products, you agree to these Terms. If you do not agree, do not purchase or use our products.

1. Definitions

  • “Product” refers to Testimonials Manager Pro plugin and related software
  • “License” refers to the right to use the Product on a specified number of websites
  • “You” or “Customer” refers to the individual or entity purchasing the Product
  • “Website” refers to a single WordPress installation on a unique domain

2. License Grant

2.1 License Types

We offer two license types:

  • Basic License: Use on 1 website ($79/year)
  • Business License: Use on up to 5 websites ($149/year)

2.2 What You Can Do

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to:

  • ✅ Install and use the Product on the number of websites specified by your license
  • ✅ Receive updates and support during your active subscription period
  • ✅ Use the Product for commercial or personal projects
  • ✅ Modify the Product for your own use (modifications are not supported)

2.3 What You Cannot Do

You may NOT:

  • ❌ Redistribute, resell, or sublicense the Product
  • ❌ Share your license key with others
  • ❌ Use the Product on more websites than your license allows
  • ❌ Remove or modify copyright notices or branding
  • ❌ Reverse engineer, decompile, or disassemble the Product (except as permitted by law)
  • ❌ Use the Product for illegal purposes
  • ❌ Claim the Product as your own work

3. License Activation and Management

3.1 Activation

  • Each license must be activated on your website using your unique license key
  • You may activate/deactivate licenses as needed within your license limit
  • License keys are tied to your email address and cannot be transferred

3.2 License Verification

  • The Product periodically verifies your license status with our servers
  • If your license expires or is deactivated, Pro features will be disabled
  • Your existing content and data will remain intact

4. Subscription and Billing

4.1 Subscription Period

  • Licenses are sold as annual subscriptions
  • Subscriptions automatically renew unless cancelled
  • You will receive renewal reminders 30 days and 7 days before renewal

4.2 Pricing

  • Prices are in USD and subject to change
  • Price changes do not affect existing subscriptions until renewal
  • Australian customers are charged 10% GST in addition to the listed price

4.3 Payment

  • Payment is processed via Stripe or PayPal
  • You authorize us to charge your payment method for renewals
  • Failed payments may result in service interruption

4.4 Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • No refunds for partial subscription periods (see Refund Policy)
  • The Product continues to work after cancellation, but you will not receive updates or support

5. Refund Policy

5.1 30-Day Money-Back Guarantee

  • We offer a full refund within 30 days of purchase
  • No questions asked
  • Contact support to request a refund

5.2 Refund Process

  • Refunds are processed within 5-10 business days
  • Refunded to your original payment method
  • Your license will be deactivated upon refund

5.3 No Refunds After 30 Days

  • Refunds are not available after 30 days from purchase
  • Renewals are not refundable (cancel before renewal date)

6. Updates and Support

6.1 Updates

  • Active license holders receive all updates automatically
  • Updates include bug fixes, security patches, and new features
  • We recommend keeping the Product updated for security and compatibility

6.2 Support

  • Active license holders receive priority email support
  • Support is provided via support.bizetools.com
  • We aim to respond within 24 hours (Monday-Friday, Australian time)
  • Support does not include custom development or modifications

6.3 Expired Licenses

  • The Product continues to function after license expiration
  • You will not receive updates or support
  • Renew your license to restore updates and support

7. Ownership and Intellectual Property

7.1 Our Rights

  • Bizetools retains all rights, title, and interest in the Product
  • The Product is licensed, not sold
  • All trademarks, logos, and branding are owned by Bizetools

7.2 Your Content

  • You retain ownership of all content created with the Product
  • We do not claim ownership of your testimonials, reviews, or data

7.3 Open Source Components

  • The Product may include open-source components
  • These components are licensed under their respective licenses (GPL, MIT, etc.)

8. Warranties and Disclaimers

8.1 Limited Warranty

We warrant that the Product will substantially perform as described in our documentation for 30 days from purchase.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED ABOVE, THE PRODUCT IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation

We do not warrant that the Product will meet your requirements or that it will be compatible with all hosting environments.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Our total liability shall not exceed the amount you paid for the Product in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for loss of profits, data, or business opportunities

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Bizetools from any claims, damages, or expenses arising from:

  • Your use of the Product
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Termination

11.1 By You

  • You may terminate by cancelling your subscription
  • You may stop using the Product at any time

11.2 By Us

We may terminate or suspend your license if you:

  • Violate these Terms
  • Use the Product for illegal purposes
  • Engage in fraudulent activity
  • Exceed your license limits

11.3 Effect of Termination

  • Your license will be deactivated
  • Pro features will be disabled
  • No refund for remaining subscription period (except as required by law)

12. Privacy and Data

  • Our collection and use of your data is governed by our Privacy Policy
  • By using the Product, you consent to our data practices as described in the Privacy Policy

13. Changes to Terms

  • We may update these Terms from time to time
  • We will notify you of material changes via email or website notice
  • Continued use after changes constitutes acceptance
  • If you do not agree to changes, cancel your subscription

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of South Australia, Australia, without regard to conflict of law principles.

14.2 Dispute Resolution

  • We encourage you to contact us first to resolve disputes informally
  • If informal resolution fails, disputes will be resolved through binding arbitration or small claims court
  • You waive the right to participate in class actions

14.3 Jurisdiction

You consent to the exclusive jurisdiction of courts in South Australia for any disputes.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Bizetools.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

15.3 No Waiver

Our failure to enforce any right does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms to a successor or affiliate.

15.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control.
