Bizetools – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of all software, WordPress plugins, add-ons, extensions, licence keys, updates, documentation, websites, cloud features, APIs, dashboards, and related offerings (collectively, the “Products”) provided by Bizetools(“Bizetools”, “we”, “us”, “our”).
By purchasing, downloading, installing, accessing, or using any Bizetools Product, you agree to be bound by these Terms.
If you do not agree, do not purchase, install, or use our Products.
1. Definitions
- “Product” means any Bizetools WordPress plugin, add-on, extension, service, licence key, update, SaaS feature, or related software.
- “GPL Software” means PHP code and components licensed under the GNU General Public License, version 2 or later.
- “Services” means updates, support, licence validation, cloud features, APIs, dashboards, AI processing, hosted services, and related infrastructure.
- “Licence” means the commercial right to access Services.
- “Licence Tier” means the plan level purchased, including Free, Pro, Unlimited, Agency, or Enterprise.
- “You” or “Customer” means the individual or legal entity purchasing or using a Product.
- “Website” means a single WordPress installation on a unique domain.
- “Client Website” means a Website owned or controlled by a third party for whom you provide services.
2. Open Source Licensing and GPL Notice
2.1 GPL Licence
All Bizetools WordPress plugins that include PHP code are licensed under the GNU General Public License, version 2 or later (GPL).
Under the GPL, you are permitted to:
- Use the GPL Software for any purpose
- Modify the GPL Software
- Redistribute the GPL Software, with or without modifications, subject to GPL terms
Nothing in these Terms restricts, limits, or overrides any rights granted under the GPL.
2.2 Separation of Code and Services
The GPL applies only to the GPL Software.
Bizetools Services — including updates, support, licence keys, cloud features, APIs, SaaS platforms, and infrastructure — are not licensed under the GPL and are governed exclusively by these Terms.
Redistribution of GPL Software does not entitle any person to access Bizetools Services.
3. Commercial Licence Grant
Subject to these Terms and payment of applicable fees, Bizetools grants you a limited, non-exclusive, non-transferable commercial licence to access Services associated with your purchased Licence Tier.
Your purchase grants access rights, not ownership.
4. Licence Tiers and Permitted Use
4.1 Free Tier
- Use of GPL Software only
- No access to paid Services, updates, or support
4.2 Pro / Single-Site / Multi-Site Tiers
- Installation on the number of Websites specified by the plan
- Access to Services during an active subscription period
4.3 Unlimited Tier
- Installation on unlimited Websites owned or controlled by the licence holder
- Access to Services for those Websites only
For clarity:
“Unlimited” refers to deployment scope only.
It does not grant resale rights, redistribution rights, white-label rights, marketplace rights, or unlimited commercial exploitation rights.
4.4 Agency Tier
- Installation on:
- Websites owned or controlled by the agency, and
- Client Websites actively managed by the agency as part of paid services
- The licence remains owned by the agency
- Clients do not receive independent licence rights
Client Handover:
If management of a Client Website is transferred or concluded, the client must obtain their own licence to continue receiving Services.
4.5 Enterprise Tier
- Subject to a separate written Enterprise Agreement
- May include custom usage rights, white-label permissions, SLAs, or integrations
- Where an Enterprise Agreement conflicts with these Terms, the Enterprise Agreement prevails
5. Restrictions and Prohibited Use
Except where permitted by the GPL, you may not:
- Resell, sublicense, or commercialise Bizetools Services
- Share, sell, lease, or transfer licence keys
- Provide updates, support, or Services as part of a competing product or service
- Use Bizetools branding, trademarks, logos, or documentation without permission
- Represent redistributed GPL Software as an official Bizetools product
- Remove or obscure trademark or branding notices
- Use Products for unlawful, deceptive, or malicious purposes
Agencies and Enterprises may not resell Bizetools licences as standalone products unless expressly authorised in writing.
6. Licence Activation and Verification
- Licence keys may be required to enable Services
- Licences may periodically verify status with Bizetools servers
- If a licence expires, is cancelled, or is terminated:
- Access to Services is disabled
- GPL Software continues to function
- Existing data remains intact
7. Licence Abuse
Licence abuse includes, but is not limited to:
- Sharing licence keys publicly or privately
- Circumventing licence verification systems
- Exceeding permitted site or usage limits
- Automated or excessive activations intended to bypass limits
- Using the Product or Services as part of a competing commercial service or SaaS
- Reselling or granting third-party access to Services
Bizetools reserves the right to determine, in good faith, whether licence abuse has occurred.
8. Subscriptions, Billing, and Cancellation
8.1 Subscriptions
- Licences are sold as recurring subscriptions unless stated otherwise
- Subscriptions renew automatically unless cancelled before renewal
8.2 Pricing and Tax
- Prices are listed in USD unless stated otherwise
- Australian customers are charged GST where applicable
- Pricing changes apply at renewal only
8.3 Cancellation
- You may cancel at any time
- Cancellation takes effect at the end of the current billing period
- No refunds for partial periods unless required by law
9. Refund Policy
9.1 14-Day Money-Back Guarantee
- Refunds are available within 14 days of the initial purchase
- Applies to first-time purchases only
- Renewals are non-refundable unless required by law
9.2 Refund Effects
- Licence access and Services are deactivated upon refund
- Updates and support access are revoked
- GPL Software may continue to be used under GPL terms
10. Updates and Support
- Active licences receive updates and support
- Support is provided through official Bizetools channels only
- Support does not include:
- Custom development
- Code modifications
- Third-party conflicts or environments
Expired licences do not receive updates or support.
11. Intellectual Property and Trademarks
Bizetools retains all rights, title, and interest in:
- Trademarks
- Logos
- Product and brand names
- Documentation
- SaaS platforms
- Service infrastructure
No rights to Bizetools branding are granted without explicit written permission.
12. Warranties and Disclaimers
Except where required by law, Products are provided “as is”.
Bizetools disclaims all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Compatibility with all environments
- Uninterrupted or error-free operation
13. Limitation of Liability
To the maximum extent permitted by law:
- Bizetools’ total liability is limited to the amount paid in the preceding 12 months
- Bizetools is not liable for indirect, incidental, consequential, or punitive damages
14. Indemnification
You agree to indemnify and hold harmless Bizetools from claims arising from:
- Your use of the Products
- Your breach of these Terms
- Your misuse of redistributed software or branding
15. Termination
15.1 Termination by You
You may terminate by cancelling your subscription at any time.
15.2 Termination by Bizetools
Bizetools may immediately suspend or terminate licence access if you:
- Violate these Terms
- Engage in licence abuse
- Resell or commercialise Services
- Engage in fraudulent or malicious activity
Termination for violations is immediate and without refund.
Termination affects Services only and does not revoke GPL rights.
16. Privacy
Our collection and use of data is governed by our Privacy Policy.
17. Changes to Terms
We may update these Terms from time to time.
Continued use of the Products after changes constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of South Australia, Australia, without regard to conflict of law principles.
